Namirial S.p.A. is an Italy-based multinational company that provides software solutions and digital trust services, such as digital signature, certified electronic mail, and digital identity. The headquarter is located in Senigallia (Italy). Operational and commercial offices are located in Italy, Europe, Latam, India, and Macau.

History

Founded in 2000 in Senigallia (Italy) by Enrico Giacomelli and Claudio Gabellini, the company began operating in the IT sector, offering software to support local business, particularly manufacturers.

The company then entered the digital trust services sector, becoming a provider of certified email, digital archiving and electronic signatures[1].

In 2007 Namirial obtains the qualification of certified electronic mail manager and registration in the special public list kept by AgID[2], the Italian public agency for digital innovation.

Starting in 2010, the company proposed its own qualified electronic signature service and was certified as a Qualified Trust Services Provider (QTSP) under the European Regulation 910/2014 (eIDAS) and registered in the public list of Trust Service Providers active in Italy, maintained by AgID[3].

In 2014, Namirial started an electronic storage service, based on the guidelines issued by AgID. Subsequently, the company obtained enrollment in the marketplace of enrolled conservators[4], a special list maintained by AgID and reserved for public and private entities that intend to provide the service of preservation of computerized documents on behalf of public administrations.

In 2017, the company became a digital identity service provider and joined SPID (the Italian digital identity public system) as an AgID-accredited provider for the issuance of digital identity[5].

In 2020, Ambienta SGR SpA, a private equity fund focused on sustainability, entered the share capital of Namirial with a 70 percent stake[6].

Between 2021 and 2022, the following companies join the Namirial Group:

  • Netheos, a French company based in Montpellier, focused on remote identification and digital onboarding solutions[7].
  • Evicertia, a Spanish company based in Madrid, which provides digital trust services for certified communication, electronic signature and digital onboarding[8];
  • Bit4id, an Italian company based in Naples, provider of digital identity technologies and digital trust services. Bit4id is also present in the Spanish and Latam markets through its subsidiary Uanataca S.A., a Certification Authority based in Barcelona[9]

In 2022, Namirial joins Potential - Pilots for European Digital Identity Wallet Consortium[10], one of four pan-European consortia committed to developing and testing the use of the European Digital Identity Wallet (EUDI Wallet) wanted by the European Commission. Since 2025, Namirial has also been a member of the Aptitude consortium, which involves more than 110 organizations from more than 15 countries and is testing the digital wallet in the mobility, transportation and banking sectors.

In 2023, Namirial signed a partnership with RGI Group (a subsidiary of the British fund CVC Capital Partners) to accelerate the digital transformation of the insurance industry. As part of this agreement, Namirial acquires from RGI Group the Italian company, based in Bologna, Unimatica Spa, which specializes in providing digital solutions for the local government and insurance sectors[11][12].

On January 2025, the company acquires Digital Technologies Società Benefit, an Italian company based in Trezzano sul Naviglio that provides software for digital transaction management, particularly in the area of digital hyper-automation of processes and document flows, and software for electronic invoicing[13][14].

The handover to the U.S. fund Bain Capital

In September 2024, rumors circulated about Ambienta's intention to sell the Namirial group[15].

On March 2025, news broke of the handover of Namirial Group from Ambienta SGR Spa to Bain Capital, a U.S. investment company[16]. The U.S. private equity fund took over Ambienta's majority stake in Namirial, with a valuation that some financial sources estimated at around 1.1 billion euros[17][18].

The union between Namirial and Signaturit

In July 2025, news broke of the merger between Namirial and Signaturit, a qualified trust services provider specializing in cloud-based DTM services and active mainly in Spain and France, controlled by the PSG growth equity fund[19][20].

Through this transaction, subject to the usual regulatory approvals, PSG exits its investment through its fund PSG Europe I and, together with Signaturit's management, reinvest in the combined platform as a significant minority shareholder along with Namirial's shareholders[21][22].
