Assured Guaranty (AG) is a Bermudian company that specializes in financial guaranty insurance. The firm provides insurance products that ensure the timely payment of scheduled principal and interest on various types of debt obligations, including municipal bonds, public infrastructure projects, and structured finance instruments.[6]

Financial Guaranty Insurance

History

[edit]AG began in January 1988 as a subsidiary of a ACE, established to provide specialized financial guaranty reinsurance and insurance products.[16][17] Its core offering involved insuring bonds by guaranteeing timely payment of principal and interest to investors, thereby reducing borrowing costs for issuers.[18]
The company differentiated itself through disciplined underwriting and conservative capital management, prioritizing transparency and risk diversification.[19] By the early 1990s, it expanded its reach to the U.S. municipal bond market, partnering with major financial institutions to distribute its policies.[20]
In 1999, ACE spun off the subsidiary into an independent entity, marking its transition into a standalone financial guaranty leader.[9] The company further solidified its market position through strategic acquisitions, which expanded its expertise in structured finance. By the late 1990s, AG had become a key player in insuring asset-backed securities, including mortgage-backed bonds and CDOs.[18][12]
The firm weathered the 2008 financial crisis relatively well due to its conservative risk framework, avoiding the catastrophic losses faced by peers.[19] Today, headquartered in Hamilton, Bermuda, AG remains a leading provider of financial guaranty insurance, with a focus on infrastructure and public-private partnership projects globally.[21][22]
Initial public offering
[edit]On April 23, 2004, AG became a public company via an initial public offering. The company opened on the New York Stock Exchange under the ticker symbol AGO with an offering of 49,000,000 shares at a price of $18 per share. The shares were entirely sold by subsidiaries of ACE. ACE maintains a beneficial interest of 25% to 35% via its subsidiary entities, contingent on the exercise of the underwriters' over-allotment option for an additional 7,350,000 shares. The share sale resulted in AG having a market capitalization of more than $800 million.[23][12][13][24]
Acquisitions
[edit]In July 2009, AG acquired Financial Security Assurance Holdings (FSAH) and Financial Security Assurance (FSA), consolidating the two financial guarantee providers that successfully emerged from the global financial crisis. Following the acquisition, FSAH was renamed Assured Guaranty Municipal Holdings Inc., and FSA was rebranded as Assured Guaranty Municipal Corp.[25][26][27]
In April 2015, AG completed the acquisition of Radian Assets Assurance Inc. (RAA) from Radian Guaranty Inc., followed by the merger of RAA into AG, with AG continuing as the surviving entity.[28][29][30]
In July 2016, AG acquired the parent company of CIFG, a financial guaranty insurer, and subsequently merged CIFG into AG, with AG remaining as the surviving entity. At the time of the transaction, CIFG held a European operating subsidiary, CIFG Europe S.A. (CIFGE), which became part of AG following the merger of CIFG into AG.[31][32][33]
In January 2017, AG acquired MBIA UK Insurance Limited, the subsidiary of MBIA Insurance Corporation responsible for European operations, and later rebranded it as Assured Guaranty (London) plc.[34][35][36][37]
In October 2019, AG acquired BlueMountain Capital Management LLC, an asset management firm, to serve as the foundation of its asset management platform.[2][38][39][40][41]
